2. Acceptance of Terms

By accessing and using the website https://shopzvault.com (hereinafter the “Website”), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions of Sale (hereinafter “Terms”), together with the Privacy Policy and Cookie Policy of the Website.

If you do not agree with any part of these Terms, you must immediately cease using the Website and refrain from placing any orders.

These Terms apply to all visitors, users, and customers of the Website, whether acting as consumers within the meaning of EU consumer law (Directive 2011/83/EU) or as professional operators.

By accepting these Terms, you acknowledge that you have read and specifically approve the clauses relating to: limitation of liability (Article 13), governing law and jurisdiction (Article 17), and force majeure (Article 16).

  • “Customer” / “User” / “You”: any natural or legal person who accesses the Website and/or places an order.
  • “Consumer”: a natural person acting for purposes outside their trade, business, craft, or profession, as defined under EU Directive 2011/83/EU.
  • “Products”: physical or digital goods sold through the Website.
  • “Order”: a purchase request submitted by the Customer via the Website.
  • “Contract”: the legally binding agreement formed between the Seller and the Customer upon shipment confirmation.
  • “Price”: the amount in Euro (EUR) displayed at the time of purchase, inclusive of applicable VAT.

To place an order on the Website, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts under applicable law

The Company reserves the right to refuse or cancel orders if there are reasonable doubts about the Customer’s legal capacity or the accuracy of the information provided. The Website may not be used to purchase goods on behalf of minors.

The Company endeavors to ensure that product descriptions, images, and prices are accurate and up to date. However:

  • Product images are for illustrative purposes only and may slightly differ from the actual item (color, finish, packaging)
  • Color variations may occur depending on the user’s screen settings and calibration
  • Product availability is updated in real time but is not guaranteed until order confirmation
  • Some products may be subject to per-order quantity limits

The Company reserves the right to modify, suspend, or discontinue the sale of any product at any time without prior notice, except for already confirmed orders.

If a product becomes unavailable after an order has been placed, the Customer will be promptly notified and offered the choice of: an equivalent alternative product, waiting for restocking, or a full refund.

7. Pricing, VAT, and Additional Costs

All prices displayed on the Website are expressed in Euro (EUR).

  • VAT (Value Added Tax) is included in the displayed price where applicable under current legislation
  • Shipping costs are not included in the product price and are displayed separately at checkout
  • For shipments to non-EU destinations, customs duties, local taxes, or import fees may apply and are the sole responsibility of the recipient
  • The Company reserves the right to correct obvious pricing errors; in such cases the Customer will be informed and may confirm the order at the corrected price or cancel it free of charge

Prices may change over time. The applicable price is the one displayed at the time the order is confirmed.

8. Orders and Contract Formation

8.1 Order Process

The purchase process consists of the following steps:

  • Selecting a product and adding it to the shopping cart
  • Entering shipping and billing information
  • Choosing a payment method
  • Reviewing the order summary and accepting these Terms
  • Confirming and submitting the order (binding purchase offer)
  • Receiving an automatic confirmation email (order receipt – not yet contractual acceptance)
  • Shipment of the product: the moment at which the sales contract is formally concluded

8.2 Order Refusal or Cancellation

The Company reserves the right to refuse or cancel an order in the following cases:

  • Payment failure or unauthorized payment
  • Suspected fraud or unlawful activity
  • Obvious errors in pricing or product description
  • Product unavailability
  • Breach of these Terms
  • Inability to deliver to the address provided

In the event of cancellation after payment, a full refund will be issued within 5–10 business days using the same payment method.

9. Payment Methods and Security

The Website accepts the following payment methods:

  • Credit / Debit Card (Visa, Mastercard, American Express)
  • Bank Transfer
  • Cash on Delivery – payment in cash to the courier (where available)
  • Other digital payment methods as indicated at checkout

Payment is due at the time of order, except for Cash on Delivery. All card transactions are processed through PCI-DSS certified payment gateways. The Website does not store card payment data.

For Cash on Delivery:

  • Payment must be made to the courier in cash at the exact amount upon delivery
  • The Customer or an authorized recipient must be present at the delivery address
  • Failure to pay the courier will result in the package being returned and the Customer being charged for return and re-delivery costs

For Bank Transfer payments, the order will only be processed upon confirmed receipt of payment. Banking details will be communicated by email.

10. Shipping and Delivery

10.1 Processing and Delivery Times

Processing time: 1–2 business days (excluding peak periods or force majeure events)

Estimated delivery time (EU): 1–3 business days from dispatch (may vary by destination and carrier)

Delivery times are estimates only and do not constitute a contractual guarantee. The Company is not liable for delays attributable to the carrier or force majeure events.

10.2 Delivery Conditions

  • Delivery is made to the address provided by the Customer at the time of order
  • Risk of loss or damage transfers to the Customer upon physical delivery of the product
  • A signature may be required upon delivery
  • In case of absence, the carrier will leave a delivery notice and may attempt a second delivery
  • Additional re-delivery attempts or storage fees may be charged to the Customer

The Customer is responsible for inspecting the package upon delivery. If the packaging appears damaged, we recommend accepting the parcel with written reservation on the carrier’s document and reporting the issue within 24 hours to info@shopzvault.com.

11. Right of Withdrawal (EU Consumers)

In accordance with EU Directive 2011/83/EU on consumer rights, Consumers have the right to withdraw from the contract without giving any reason within 14 calendar days from the date on which they, or a third party designated by them, physically take possession of the product (or the last product in the case of multiple items ordered separately).

11.1 How to Exercise the Right of Withdrawal

To exercise the right of withdrawal, the Consumer must send an unambiguous statement before the withdrawal period expires, using one of the following methods:

  • Email to info@shopzvault.com with subject line: “Withdrawal – Order No. [ORDER NUMBER]”
  • Standard withdrawal form (available on the Website or upon request)
  • Any other unambiguous written statement expressing the decision to withdraw

11.2 Return of Products

After communicating the withdrawal, the Consumer must return the products within 14 days. Returned products must be:

  • Unused, intact, and in perfect condition
  • In their original packaging, complete with all accessories, labels, and included documents
  • Free from signs of use, damage, or alteration

Return shipping costs are borne by the Consumer, unless the Company has expressly agreed to cover them or the product is defective (see Article 12).

11.3 Refunds

The Company will issue a full refund of the amount paid (excluding original shipping costs, unless otherwise required by law) within 14 days of receiving the returned product or proof of its return shipment (whichever is earlier). The refund will be made using the same payment method used for the original purchase, unless otherwise agreed.

The Company reserves the right to withhold the refund until the product has been received or proof of return has been provided.

11.4 Exceptions to the Right of Withdrawal

The right of withdrawal does not apply, pursuant to Art. 16 of Directive 2011/83/EU, to:

  • Products made to the Consumer’s specifications or clearly personalized
  • Sealed products not suitable for return due to health or hygiene reasons, if unsealed after delivery
  • Products that, after delivery, have been inseparably mixed with other goods by their nature
  • Digital content not supplied on a tangible medium, if performance has begun with the Consumer’s consent

12. Legal Guarantee of Conformity

Pursuant to EU Directive 2019/771 on the sale of goods, Consumers are entitled to a 24-month legal guarantee of conformity from the date of physical delivery of the product.

In the event of a lack of conformity, the Consumer is entitled to, in the following order:

  • Restoration of conformity through repair or replacement of the product
  • A proportionate reduction in the price, if repair or replacement is impossible or disproportionately costly
  • A full refund, if price reduction is inadequate or the defect is substantial

Defects must be reported to the Company within 2 months of discovery. The Company will assess the reported defect and respond with a proposed remedy within a reasonable timeframe.

This legal guarantee does not affect any additional commercial warranty that may be provided separately by the manufacturer.

Professional (non-consumer) buyers are not entitled to the statutory 24-month guarantee under Directive 2019/771 and are governed by applicable commercial law.

13. Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for:

  • Indirect, incidental, or consequential damages arising from the use of the Website or products
  • Loss of profits, revenue, data, or business opportunities
  • Business interruption caused by Website downtime or technical failures
  • Damages resulting from third-party service interruptions (payment gateways, hosting, couriers)
  • Inaccuracies or errors in product descriptions caused by manufacturer or supplier updates

Where liability cannot be excluded by law, the Company’s total liability shall in no event exceed the purchase price of the specific product giving rise to the claim.

Nothing in these Terms excludes or limits liability for: death or personal injury caused by the Company’s negligence, fraud or fraudulent misrepresentation, or any mandatory statutory consumer rights under EU law.

14. Intellectual Property

All content available on the Website, including but not limited to: text, graphics, logos, product photographs, descriptions, pricing, layout, and software, is protected by applicable intellectual property laws, including copyright and trademark laws.

No content may be reproduced, distributed, modified, publicly displayed, or commercially exploited without the prior written consent of the Company.

Trademarks, trade names, and logos displayed on the Website are the property of their respective owners. Their use does not imply any affiliation with or endorsement by such owners.

Any unauthorized use of the Website’s intellectual property may result in legal action.

16. Force Majeure

The Company shall not be liable for any failure or delay in fulfilling its obligations under these Terms where such failure or delay results from events beyond its reasonable control, including but not limited to:

  • Natural disasters, earthquakes, floods, or extreme weather events
  • Acts of government, embargoes, or changes in applicable law
  • War, armed conflict, terrorism, or civil unrest
  • Strikes, lockouts, or other industrial actions
  • Pandemics or public health emergencies
  • Global supply chain disruptions or shortages of materials
  • Courier or logistics service failures beyond the Company’s control

In such circumstances, the Company will notify the Customer as soon as reasonably practicable and will endeavor to resume performance as soon as possible. If the force majeure event continues for more than 30 days, either party may terminate the affected order with a full refund.

17. Governing Law and Jurisdiction

These Terms and Conditions are governed by and construed in accordance with Italian law, without prejudice to any mandatory consumer protection rights afforded by the law of the Consumer’s country of residence.

For disputes involving Consumers: jurisdiction lies with the court of the Consumer’s place of residence or domicile, in accordance with EU Regulation 1215/2012 (Brussels I Recast).

For disputes involving non-consumer (professional) buyers: the competent court shall be [COMPETENT COURT], Italy, to the exclusion of any other.

19. Severability and Entire Agreement

If any provision of these Terms is found to be invalid, unlawful, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed from these Terms if modification is not possible, without affecting the validity of the remaining provisions.

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between the Company and the Customer with respect to the use of the Website and the purchase of products, and supersede all prior representations, understandings, or agreements.
